Business law

Business lawyer in Dallas

Contracts and owner disputes, planned so the problems show up on paper before they show up in court.

Most business disputes start with a document signed in a hurry. A partnership with no written exit. A vendor contract copied from the internet. A lease nobody read past page 3.

We help Dallas business owners write and review the contracts their companies run on, and deal with disputes between owners when they come. The aim is the same at every stage: see where a deal could go wrong, and decide what to do about it while it is still cheap to change.

Shayan Elahi has practiced law since 2004.

Texas clients meet at our Dallas office on LBJ Freeway. Florida clients meet with Shayan by phone or video. There is no Florida office.

Business matters we handle

How we work on a business matter

Good business law looks a few moves ahead.

  1. Learn the business.

In the first consultation, we ask how the company makes money, who owns it, and what you are trying to do next. A contract only makes sense against that.

  2. Read the position.

We review what already exists: formation documents, agreements, leases, emails that changed the deal. Many problems are already on paper.

  3. Map the risks.

For each deal or dispute, we list where it could go wrong, how likely that is, and what it would cost. You decide which risks are worth paying to close.

  4. Draft or negotiate.

We write the document or the response, explain each clause that matters, and negotiate the terms you choose.

  5. Resolve disputes early where you can.

A letter, a negotiated fix, or mediation before a lawsuit. If litigation is the right route, we plan it with you. Read about civil litigation

Why business owners work with Elahi Law

  • Transactional and trial work.

Shayan drafts deals and has been lead counsel in bench and jury trials. Knowing how a contract reads in court shapes how we write it.

  • Direct access to your attorney.

You work with Shayan directly, and he handles your case himself. Anyone on his staff who helps with it works under his supervision.

  • Mediation in the same office.

When a dispute between owners is better settled than sued, mediation is part of the practice. Read about mediation

  • Practicing since 2004.

Licensed in Florida since 2004 and in Texas since 2012.

Business law questions

Last reviewed . Laws change, so check the date.

How long do I have to sue over a broken contract?

In Texas, usually 4 years from the breach (Civil Practice and Remedies Code section 16.004 and 16.051). In Florida, usually 5 years for a written contract (section 95.11(2)(b)) and 4 years for one that is not written (section 95.11(3)(j)). The contract itself can affect this, so read it early.

My business was just sued. What do I do first?

Find the date you were served and calendar the answer deadline. In Texas district and county courts, the answer is usually due by 10:00 a.m. on the Monday after 20 days from service (Texas Rule of Civil Procedure 99(b)). Keep every document and email about the dispute, and do not discuss it with the other side. Then call a lawyer. Missing the deadline can lead to a default judgment.
